1. Definitions

Etrax: the business operating under the trade name Etrax that provides its services through this website and related platforms.
Client / Customer: any natural or legal person that enters into an agreement with Etrax or makes use of its services.
Services: all services offered by Etrax, including but not limited to CRM implementation, automation tools, AI solutions, marketing systems, communication workflows, lead nurturing, consultancy, and any related digital services.

2. Applicability

These Terms & Conditions apply to all offers, agreements, services, subscriptions, digital products, and communications provided by Etrax, unless explicitly agreed otherwise in writing. By using our services, software, website, or communication channels, you confirm that you have read, understood, and accepted these Terms & Conditions.

4. Services

Etrax provides digital services and systems including, but not limited to:

CRM and automation setup

AI communication tools

Lead follow‑up, appointment automation, and communication workflows

Optional marketing and consultancy services

The exact scope of services is always defined in a service agreement, order form, proposal, or onboarding document.

5. Formation of Agreement

An agreement between the Client and Etrax is established when:

the Client accepts a proposal or subscription; or

the Client registers or signs up via an online form; or

Etrax commences delivery of services upon request of the Client.

6. Pricing and Payments

Prices are exclusive of taxes unless stated otherwise.

Payments must be made within the agreed timeframe. Standard payment term is 7 days unless explicitly stated otherwise.

In case of late payment, Etrax reserves the right to suspend or terminate services.

Any transaction or processing fees are borne by the Client.

7. Subscriptions & Renewal

Where services are provided on a subscription basis, they apply for the agreed contract period.

Unless specified otherwise, subscriptions automatically renew for the same duration.

Cancellation must be communicated in writing within the defined cancellation notice period.

8. Service Delivery

Etrax delivers services with best‑effort obligations, not guaranteed results, unless expressly stated otherwise.

The Client is responsible for providing correct and complete information.

Etrax is not responsible for misuse or incorrect handling of systems by the Client.

9. Client Responsibilities

The Client agrees to:

provide accurate company and user data;

comply with data protection, communication, and marketing regulations applicable in their jurisdiction;

refrain from illegal, abusive, fraudulent, misleading, or harmful activities using systems provided by Etrax;

ensure end‑users consent to communication where applicable.

10. Results & Disclaimer

Unless explicitly written otherwise, Etrax does not guarantee specific business outcomes such as a fixed number of leads, appointments, sales, revenue, or profit. Results depend on multiple external variables outside Etrax’s control.

11. Intellectual Property

All systems, configurations, documents, creative assets, content, automations, software structures, templates, and materials created by Etrax remain the intellectual property of Etrax unless expressly transferred in writing. The Client receives a usage license only while the agreement is active and payments are up to date.

12. Liability

Etrax is not liable for indirect damages, consequential damages, loss of revenue, reputational harm, business interruption, or data loss.

Liability is limited to the amount of the last invoice related to the affected service or any insurance coverage available.

Etrax is not responsible for downtime, outages, compliance restrictions, or errors caused by third‑party platforms such as GoHighLevel, email providers, Meta, Google, carriers, telecom services, or APIs.

13. Data Processing & Privacy

Etrax processes personal data in compliance with applicable data protection regulations, including GDPR where applicable. For more details, please refer to our Privacy Policy.

14. Suspension & Termination

Etrax may suspend or terminate services without liability if:

the Client fails to pay;

the Client violates laws, these Terms, or telecom/compliance guidelines;

abuse, fraud, spam, illegal communication, or reputational risk is identified.

15. Force Majeure

Etrax is not liable for delays or failure to perform caused by events beyond reasonable control such as outages, network failures, platform issues, strikes, natural disasters, regulatory actions, or telecom restrictions.

16. Governing Law

These Terms & Conditions are governed by Belgian law unless explicitly agreed otherwise. Any disputes shall be handled by the competent courts in the jurisdiction where Etrax is established.

SMS / TOLL‑FREE MESSAGING PROGRAM TERMS

By providing your phone number to Etrax, you consent to receive SMS and/or WhatsApp communications related to services, onboarding, support, updates, reminders, and marketing (if applicable).

Program Description: informational, transactional, and occasionally promotional messaging related to Etrax services.
Message Frequency: varies depending on usage but may include recurring messages.
Message & Data Rates: may apply depending on your carrier plan.

Opt‑In Consent

You may opt in by:

submitting a web form;

checking a consent box;

requesting information/services and providing your phone number.

Opt‑Out

You may stop receiving messages at any time by replying:

STOP, END, CANCEL, UNSUBSCRIBE, or QUIT

Restrictions

No messaging to children under 18. Messaging must not be used for fraud, illegal content, hate, harassment, financial scams, SHAFT‑restricted content (sex, hate, alcohol, firearms, tobacco), or any carrier‑prohibited messaging.
